Strange Plastic Terms of Service
Please read these terms of service carefully before using our service.
Conditions of use
These Terms of Service constitute a legally binding agreement made between you, whether personally or on behalf of an entity (“you” or “your”) and and Strange Plastic (“Company”, “we”, “us”, or “our”), concerning your use of the Strange Plastic services. We are registered in California, United States and have our registered office at 3015 Adeline St #105, Emeryville, CA 94608. You agree that by engaging in business with us, you have read, understood, and agreed to be bound by all of these Terms of Service.
Intellectual property
Strange Plastic do not own the rights to any of your data, provided or created. We maintain certain data that you provide to us or we generate for you for the purpose of managing your project, we do not maintain ownership of any of your data nor storage of any data and you are solely responsible for all data that you transmit or that relates to any activity you have undertaken using our service. You agree that we shall have no liability to you for any loss or corruption of any such data, and you hereby waive any right of action against us arising from any such loss or corruption of such data.
Applicable law
By using our service, you agree that the laws of the state of California, without regard to principles of conflict laws, will govern these terms and conditions, or any dispute of any sort that might come between Strange Plastic and you, or its business partners and associates.
Disputes
Any dispute related in any way to your engagement in services or communications with Strange Plastic shall be arbitrated by state or federal court in Emeryville, California and you consent to exclusive jurisdiction and venue of such courts.
Informal Negotiations
To expedite resolution and control the cost of any dispute, controversy, or claim related to these Terms of Service (each “Dispute” and collectively, the “Disputes”) brought by either you or us (individually, a “Party” and collectively, the “Parties”), the Parties agree to first attempt to negotiate any Dispute informally for at least thirty (30) days before initiating arbitration. Such informal negotiations commence upon written notice from one Party to the other Party.
Binding Arbitration
If the Parties are unable to resolve a Dispute through informal negotiations, the Dispute (except those Disputes expressly excluded below) will be finally and exclusively resolved by binding arbitration.
In no event shall any Dispute brought by either Party related in any way to Strange Plastic be commenced more than one (1) year after the cause of action arose.
Indemnification
You agree to indemnify Strange Plastic and its affiliates and hold Strange Plastic harmless against legal claims and demands that may arise from your use or misuse of our services or products. We reserve the right to select our own legal counsel.
Limitation on liability
Strange Plastic is not liable for any damages that may occur to you as a result of your misuse of our services or products. Strange Plastic reserves the right to edit, modify, and change this Agreement any time. We shall let our users know of these changes through electronic mail. This Agreement is an understanding between [name] and the user, and this supersedes and replaces all prior agreements regarding the use of this website.
Termination
These Terms of Service shall remain in effect while engaging in Strange Plastic’s services. Either party may terminate services by providing a written notice seven (7) days prior to termination of services. All deliverables or pending payments from either party must be provided within fourteen (14) days of the termination date.
Payment
Unless otherwise negotiated, Strange Plastic requires payment upfront and in full prior to beginning work.
Refunds
All sales are final and no refunds will be issued for any delivered digital or physical assets, electronically or physically.
